The Securities and Exchange Commission's settlement of a lawsuit against Goldman Sachs (NYSE: GS) over a certain subprime mortgage product sold to investors misses a key issue. That is, concerning the company's duty to provide timely and transparent disclosures to its own shareholders about government subpoenas, investigations, and pending enforcement actions against the firm. In this particular case, Goldman did not make timely disclosures about the regulator's investigation and pending lawsuit against the firm, right under the SEC investigator's noses.


Goldman Sachs chooses to keep shareholders in the dark about SEC investigation and pending enforcement action


During the summer of 2008, the SEC started investigating Goldman's marketing of a certain subprime mortgage product, known as ABACUS CDO, to investors who lost over $1 billion from that transaction.
At that time, Goldman Sachs knew that the SEC was investigating its failure to disclose material information to investors in violation of SEC Rule 10b-5 in connection with that transaction. However, Goldman Sachs did not disclose the SEC's investigation in its financial reports.


In July 2009, the SEC sent Goldman Sachs a Wells notice informing Goldman of its intention to file a lawsuit against the company. Still, Goldman Sachs chose not to disclose the SEC's pending enforcement action in its financial reports.


On Friday, April 16, 2010, the SEC filed a surprise lawsuit against Goldman Sachs and Executive Director Fabrice Tourre alleging securities fraud in connected with the company's marketing of the ABACUS CDO to investors. That day, Goldman Sachs shares plummeted from $183.31 per share to $160.30 per share or about 13%, wiping out about $12 billion of shareholder wealth.


Clearly, investors deemed the surprise news of the SEC complaint against the company as material information, unlike the management team running Goldman Sachs.


Goldman Sachs settles SEC charges


Yesterday, Goldman Sachs settled SEC charges against the firm. According to the SEC's press release:


...Goldman, Sachs & Co. will pay $550 million and reform its business practices to settle SEC charges that Goldman misled investors in a subprime mortgage product just as the U.S. housing market was starting to collapse.

In agreeing to the SEC's largest-ever penalty paid by a Wall Street firm, Goldman also acknowledged that its marketing materials for the subprime product contained incomplete information.



In a news conference, Director of SEC Enforcement Robert Khuzami spoke about Goldman's duty to provide full and transparent disclosure to its customers but ignored the company's duty to likewise provide such disclosures to its own shareholders:


They acknowledge that their marketing materials for the ABACUS CDO contained incomplete information, and that they failed to disclose both Paulson & Company's role in the portfolio selection process, and that Paulson's economic interests were adverse to CDO investors.


The settlement also contains forward-looking reforms. Goldman has agreed to tighten internal controls and assess the roles and responsibilities of Goldman personnel and others to insure that disclosures in future offerings of mortgage and CDO products are full and accurate.


In agreeing to the settlement, we also took into account that Goldman is engaging in a broad-based self-assessment of their overall business practices that will increase transparency, evaluate and remediate conflicts, and take other steps that collectively will reduce the chances that investors in the future will be misled.


This resolution achieves the goals of accountability, punishment for past misconduct and prospective reforms that are the hallmark of a successful outcome.


Today's settlement is a stark reminder that there will be a heavy price to be paid if firms violate the principles fundamental to our securities laws - full disclosure, honest treatment and fair dealing - and those principles do not change, even if the product is complex or the investor sophisticated.



By ignoring Goldman's failure to inform shareholders in a timely manner about the SEC's investigation of the company and then pending enforcement action, the SEC is sending a message that surprising investors about investigations and enforcement actions is fair game. Moreover, a resolution requiring self-assessment is meaningless, as anyone not sleeping soundly through the last decade should know.


Friday, news of the settlement sent Goldman shares 4.43% higher to close at $145.22 per share, still far lower than its $181.31 price per share the day before the SEC filed its complaint against the company.

Making Money System


Making maple syrup in a hotter world






It's hard to take big-picture global temperature increases and bring them down to a personal level—partly because of that confusion between weather and climate, and partly because scientists simply have a better understanding what is very likely to happen in an averaged-out global system, than they have of how changes in that global system are likely to affect your backyard.



I like the way Climate Wisconsin is trying to bridge that gap. First, they use interactive visuals to show the local symptoms of climate change, like rising average temperatures and fewer days of ice cover of Wisconsin lakes. Then, they connect those symptoms to Wisconsin life. If these trends continue, what impact will they have on things like fishing, forestry, farming and, yes, the making of maple syrup.



It's a hard line to walk. The family featured in this video has recently experienced some of the worst years for making maple syrup in four generations. But, because weather isn't climate, next year could be better for them, even as the climate, overall, continues to warm. At the same time, though, climate change is likely to have long-term impacts on where and how well sugar maples can grow—and when, and for how long, their sap runs in spring.



I think this video and the related essay do a better-than-average job of making that distinction. This family won't be out of business next year. But, over time, climate change is very likely to make this work harder for them. The harder it gets, Wisconsin traditions associated with maple syrup making will become less common—and the 5-million-dollar syrup industry will bring less money to the state.



Also, I just finished re-reading Little House in the Big Woods, and it's fun to see how the process of maple syrup production has, and hasn't, changed since Grandpa Ingalls threw a sugaring-off party at his Wisconsin cabin in the late 1860s. Check out the taps they hammer into the maples. They look just like the Little House illustrations, but instead of draining into wooden buckets, the sap now flows into plastic bags.

You're probably reading this on junk. And I'm not talking about newsprint - industry woes aside, that's high-quality stuff. But if you're on a computer or an iPad, and you're not plugged into an Internet jack in the wall? Junk, then.



But it's not your MacBook or your tablet that's so crummy. It's the spectrum it's using.



Spectrum, in the words of FCC Chairman Julius Genachowski, is the economy's "invisible infrastructure." It's the interstate system for information that travels wirelessly. It's how you get radio in your car, service on your cellphone and satellite to your television. It's also how you get WiFi.



But not all spectrum is created equal. "Beachfront spectrum" is like a well-paved road. Lots of information can travel long distances on it without losing much data. But not all spectrum is so valuable.



In 1985, there was a slice of spectrum that was too crummy for anyone to want. It was so weak that the radiation that microwaves emit could mess with it. So the government released it to the public. As long as whatever you were doing didn't interfere with what anyone else was doing, you could build on that spectrum. That's how we got garage-door openers and cordless phones. Because the information didn't have to travel far, the junk spectrum was good enough. Later on, that same section of junk spectrum became the home for WiFi - a crucial, multibillion-dollar industry. A platform for massive technological innovation. A huge increase in quality of life.



There's a lesson in that: Spectrum is really, really important. And not always in ways that we can predict in advance. Making sure that spectrum is used well is no less important than making sure our highways are used well: If the Beltway were reserved for horses, Washington would not be a very good place to do business.



But our spectrum is not being used well. It's the classic innovator's quandary: We made good decisions many years ago, but those good decisions created powerful incumbents, and in order to make good decisions now, we must somehow unseat the incumbents.

Today, much of the best spectrum is allocated to broadcast television. Decades ago, when 90 percent of Americans received their programming this way, that made sense. Today, when fewer than 10 percent of Americans do, it doesn't.



Meanwhile, mobile broadband is quite clearly the platform of the future - or at least the near future. But we don't have nearly enough spectrum allocated for its use. Unless that changes, the technology will be unable to progress, as more advanced uses will require more bandwidth, or it will have to be rationed, perhaps through extremely high prices that make sure most people can't use it.



The FCC could just yank the spectrum from the channels and hand it to the mobile industry. But it won't. It fears lawsuits and angry calls from lawmakers. And temperamentally, Genachowski himself is a consensus-builder rather than a steamroller.



Instead, the hope is that current owners of spectrum will give it up voluntarily. In exchange, they'd get big sacks of money. If a slice of spectrum is worth billions of dollars to Verizon but only a couple of million to a few aging TV stations - TV stations that have other ways to reach most of those customers - then there should be enough money in this transaction to leave everyone happy.



At least, that's some people's hope. Some advocates want that spectrum - or at least a substantial portion of it - left unlicensed. Rather than using telecom corporations such as Verizon to buy off the current owners of the spectrum, they'd like to see the federal government take some of that spectrum back and preserve it as a public resource for the sort of innovation we can't yet imagine and that the big corporations aren't likely to pioneer - the same as happened with WiFi. But as of yet, that's not the FCC's vision for this. Officials are more worried about the mobile broadband market. They argue (accurately) that they've already made more beachfront spectrum available for unlicensed uses. And although they don't say this clearly, auctioning spectrum to large corporations gives them the money to pay off the current owners. But even so, they can't do that.



"Imagine someone was given property on Fifth Avenue 50 years ago, but they don't use it and can't sell it," says Tim Wu, a law professor at Harvard and author of "The Master Switch." That's the situation that's arisen in the spectrum universe. It's not legal for the FCC to run auctions and hand over some of the proceeds to the old owners. That means the people sitting on the spectrum have little incentive to give it up. For that to change, the FCC needs Congress to pass a law empowering it to compensate current holders of spectrum with proceeds from the sale.



One way - the slightly demagogic way - to underscore the urgency here is to invoke China: Do you think it's letting its information infrastructure stagnate because it's a bureaucratic hassle to get the permits shifted? I rather doubt it.



Of course, we don't want the Chinese system. Democracy is worth some red tape. But if we're going to keep a good political system from becoming an economic handicap, there are going to be a lot of decisions like this one that need to be made. Decisions where we know what we need to do to move the economy forward, but where it's easier to do nothing because there are powerful interests attached to old habits. The problem with having a really good 20th century, as America did, is that you've built up a lot of infrastructure and made a lot of decisions that benefit the industries and innovators of the 20th century. But now we're in the 21st century, and junk won't cut it anymore.

The experts have long agreed: Creating a corporate blog is an important step in giving your company a voice, building brand, and establishing that all-important thought leadership.


Your blog is to be your hub, the place where all the rest of your social media marketing connects. It’s an opportunity to encourage users to connect and form attachments over their affection for your brand and what you represent. All of that is true and awesomesauce. Well, until your corporate blog attacks your business, kicks your customers in the face, and quietly sucks your sales dry. What, you didn’t know that could happen?


The surge in blogging over the past few years has resulted in some problems for business owners who blogged first, asked questions later. Because, for all its strengths as a communication platform, blogging can also help business owners shoot themselves in the foot if they’re not careful. Here are a few ways your blog may accidentally sabotage your business.


You dilute your link profile


If you’re reading this, you’re either someone who understands the power of search engine optimization and Internet marketing, or you just got very, very lost on the Internet (we’re sorry). Assuming it’s the former, you probably understand the importance of keywords and attracting links with a purpose.


You’re very deliberately trying to build links to your site and to your services pages to help them rank better and bring more awareness to your users. So imagine what it does to your link profile when you acquire 10,000 links to your home page for the very-useless term [lisa barone]. Imagine how that might throw off your rankings for the terms you actually wanted that page to rank for. Yeah. Welcome to me getting scolded by nearly every boss I’ve ever had.


One reason people pointed so many lisa barone-laden pieces of anchor text toward previous home pages was because there was no Lisa Barone page on the sites I blogged for. When someone wanted to reference me, they linked to the company that I worked for. Understandable, but counter-productive. Also make sure that you’re not diluting your own link profile by linking to your home page when you should be linking to your personal About page. Before you start a blog, take into account how the links coming into your site may affect it and have a plan for tackling that.


You make your blog your home page


When a new visitor lands on your site, they are there for a purpose. They’re looking for information about who you are, what services you provide, how you get the job done, why you’re different, what your rates are, and how they’re supposed to get in touch with you. The purpose of your home page is to answer these questions, show relevance, and to entice them to click and enter your conversion funnel. New visitors to your home page are not looking for your latest blog post. Serving them that will confuse them and leave them with no information about your business or what you offer.


Some businesses will make their blog their home page because that’s the page mostly frequently updated and where all the conversation is happening. However, it doesn’t mean that page best addresses your customers’ needs. And that’s what your home page should do. Instead of serving up your blog as your home page and making users figure out where they’re supposed to click, how they learn more, and who, exactly, you are, give them the home page they’re looking for.


It’s disconnected from the main site


Corporate blogs work best when they’re a natural extension of the rest of your Web site. When the content found on the blog serves to give more information/street cred to your services. And to do that, readers need to be able to see the connection that exists between to the two entities.


Your corporate blog fails when you put it on a separate domain and make it hard for people to tie back or access your site. It fails when your blog doesn’t link to any other pages on your site or reference your service offerings in any way. Sure, blogs shouldn’t be overly-promotional, but never mentioning your products or services is actually more awkward than giving people useful information as it’s relevant. If you treat your blog like a totally separate island, consider what value it’s really bringing to your company.


Your blog becomes your business


Blogging is a lot like working out – once you take to it, it’s addicting. You have to blog every day and you have to blog harder than everyone else around you. And that’s great if you’re a professional blogger and blogging is how you make money. But for most people, blogging is not their business. [Even professional bloggers have to worry about things like branding these days.] It’s one facet of much larger marketing strategy. Don’t forget about the rest of your marketing strategy just because your blog talks back to you.


Remind yourself about how your blog relates to your business, what its objective is, and what it’s supporting. If you’re involved in catering marketing, your blog may be one part of that. But you still have to figure out the rest of social media, network within your industry, and then, you know, find time to run your catering business. Don’t let your blog become a distraction, either because it’s more “fun” than your other work or because you like the way it makes your ego feel.


You don’t commit to it


As a small business owner myself, I can certainly understand how time consuming (and exhausting) it is to continually be producing content to publish so that you can publish it on your blog. However, showcasing a blog that you update once every you feel like it may not give the best impression to potential customers. It shows them that you do things without a plan and that you’re not always the most reliable service provider. If you can’t commit to blogging a regular basis (even if it’s just once a week), consider if it’s worth doing at all. What are you planning to get from it?


You don’t play well in the sandbox


As Outspoken’s Chief Branding Officer, I often recommend companies take on corporate blogs as a way to get their voice out there and to establish personality and a POD. If you can hook someone to your blog, you’re giving them a direct line to your company message and your way of thinking. Assuming they connect with that, you’re able to significantly lower the bar to winning them over as a customer.


Unless, you’re a jerk. One of the most awesome ways a corporate blog can sabotage your business is when you use it to attack, alienate, and annoy other people. If you don’t know how to play well with others and the idea of occasionally smiling for diplomacy offends you, then maybe a blog shouldn’t be your best friend. Because as Vitaly Borker found out, “crazy bully” isn’t a long-term business strategy. It’s only beneficial to let people “see the real you” when you think there’s a chance they’ll actually like the real you.

MMA to Create Mobile Privacy Guidelines


Greg Stuart, Global CEO of the MMA, said the group recognizes the importance of consumer privacy. "In order for marketers and publishers to responsibly and sustainably engage consumers through and with the mobile channel, we need to continuously update how we address the collection, management and use of personal data or related consumer information," he explained earlier this month.


To create the new guidelines, the MMA is asking members of the mobile community, including carriers, marketers, agencies, media companies and media technologies, to join its Privacy Committee. The issue will also be addressed at its upcoming Consumer Best Practices Meeting, January 25-26 in Boca Raton, Florida.


Compared with the $25 billion online ad industry, the mobile marketing industry is still in its infancy. It won't reach $1 billion until 2012, reported AdWeek, citing data from eMarketer. "If we'd seen how fast mobile Internet and apps were going to grow, maybe we would have stepped in sooner," Stuart told AdWeek.


[Author's Note: if they had seen how fast it would grow? Were they not watching?]


There's no timeline for the completion of the new policy, Stuart said. "It's more important that we get it done right. This release was a call to arms."


A Need to Address Mobile Privacy Concerns


This issue was recently in the forefront of people's minds, thanks to a Wall St. Journal series called "What They Know," that highlighted the growing lack of privacy in today's digital world. One piece in particular ("Your Apps are Watching You") dealt with mobile privacy.


The Journal found that, after an examination of 101 popular smartphone applications on iPhone and Android devices, 56 transmitted the phone's unique device ID to other companies without the user's awareness or consent. 47 also transmitted location and 5 sent age, gender and other personal details.


Counterpoint: Tracking is GOOD


The somewhat overly paranoid reporting from The WSJ was met with some backlash online, especially from the tech blogging community. In a post entitled "Hello, My Name is: 9649e796e8b23900dc9629a18f2d47306430e62f," BGR blogger Andrew Munchbach made a convincing argument that mobile tracking isn't really all that bad. (The headline referred to his UDID, the unique device identifier that's used to build an online profile of a device, and therefore, the user).


"I’m not all that concerned with third parties, even advertisers, knowing the age, gender, UDID, and/or the general (or even specific) location of my device’s end-user (that’s me)," Munchbach wrote. "So Rovio, the maker of Angry Birds, knows that the dude using my mobile device is, um, a dude, was stuck on level 5-13 for six straight hours, and was in Newport, RI when this all occurred. So the game looked through my address book to see if there were contacts that were also playing Angry Birds with whom I could connect. I kind of like these features," he said.


He also said that even when that data is passed to an analytics company, it's used - anonymously - to provide useful usage statistics and intelligence. "Rovio can use this information to improve its product, which would seem like a benefit to me, the player. Heck, Flurry may even go one step further and use this information in its own reporting and assessment of the mobile industry or publish a report about it...still doesn’t trouble me all that much. Why should it? It’s an age, gender, and ever-changing location that is linked to a number that represents a mobile device."


...But Some Want to Opt-Out & Today You Can't


While in Munchbach's case, the tracking is seen in a positive light, there are some who would prefer the option to opt-out, as you can in most of today's modern desktop-based Web browsers, through the use of built-in tools like privacy/"incognito" modes, browser add-ons and extensions and even alternative search portals that promise no tracking.


WSJ polled its readers on the matter, and a majority (67.7%), said they want apps to tell them every time they collect and send info about their mobile device. Clearly, these voters were worked about about the idea, having just read the article. Apps that constantly nagged you if and when they could share information would be worse than Windows Vista's User Account Control security feature which seemed to ask you every single time you tried to make the simplest change on your PC.


Still, the mobile world, as of yet, does not have any such opt-out options. It's all or nothing - use the app, or don't. But if you do, you're agreeing to certain conditions. The MMA's influence may help to create new scenarios here that will better serve mobile users, not just with regard to apps, but for all sorts of mobile ads, including SMS text messages, in-app banner advertising and ads on the mobile Web itself.

My guest on Hedge Fund Radio this week is penny stock trader and Internet entrepreneur, Tim Sykes. Every once in a while I run into a natural born trader, someone who crawls out of the crib quoting options spreads, price earnings multiples, and book values. His first spoken word was “Sell!” While other kids were practicing their ABC’s, Tim was pouring through prospectii.

During his college years, Tim skipped classes and turned a $12,415 Bar Mitzvah gift into $1.65 million by trading the market from his dorm room. By the time he graduated from Tulane in 2003, he was already running his own hedge fund. Barclays Bank rated it the number one short bias fund during 2003-2006.

Tim argues that if you cut through all the hype and manipulation in the penny stock market, it is clear that there are huge opportunities on the short side. Most of the companies trading there are frauds, and most will fail. Mini Enron’s and mini Madoff’s abound.

Defined as trading under $5 a share, these stocks are purchased mostly by individuals desperate for “get rich quick” success. Promoters buy lists of email addresses from major online publishers, sometimes paying millions of dollars, to launch a never ending onslaught of “pump and dump” schemes. Email barrages and Twitter spam have replaced the dinnertime telemarketing calls and junk mail of yore.

The SEC is so inundated with tips on Madoff copycats and competitors ratting out each other, they don’t have time to pursue gripes about $1,000 losses emanating from penny stock scams. It’s like expecting the FBI to pursue shoplifters of 99 cent items from Seven Eleven stores.

Some of the claims made by these bogus IPO’s boggle the imagination. Tim’s favorite was one company’s efforts to promote vitamins infused with stem cells. Another offered a solar spray that turned you house into an energy source. Then there was the BP Gulf oil spill that threw up innumerable crude eating forms of algae. As for my own experience, I’ll never forget the aquaculture farm in the middle of the Saudi Arabian desert. To separate out the obvious rip offs from the legitimate companies, Tim spends hours a day gleaning through voluminous SEC filings, some of which are blatant cut and paste jobs from earlier failed floatations.

Even though most of these companies are fake, prices can run away to the upside, wiping out the early short sellers. So some risk control discipline is required. When a stock truly rockets, “buy-ins” of shorts can also be a problem. A few hundred penny stocks are launched each year, but only about five a month catch on fire. And remember, Apple (AAPL), and True Religion (TRLG) jeans were once penny stocks.

To avoid being taken to the cleaners by unscrupulous con men, Tim offers some very basic advice. If it is too good to be true, it generally is. It also helps to read the SEC filings, which can be obtained online for free.

Tim claims to have a success rate with his short strategy of 75%, which has delivered a 56% return in 2010, proving he still has the golden touch. His problem is that the strategy is not scalable, and can only be executed with a small amount of money. No mega hedge fund for him.
